Terms of Service

These Terms of Service ("Terms") govern your access to and use of Draftless ("the Service"), operated by Entropy Hedge, LLC ("we," "us," or "our"). By using the Service, you agree to these Terms.

2. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of Service

Draftless is a web-based design tool that enables you to:

  • Clone and analyze website designs from URLs
  • Edit designs using AI-powered natural language instructions
  • Share preview URLs and review links with clients
  • Collect client feedback and approvals
  • Export clean HTML code
  • Collaborate with team members

4. Account Registration

To use the Service, you must:

  • Be at least 16 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account

You are responsible for all activity that occurs under your account.

5. Subscriptions and Payments

5.1 Merchant of Record

All payments for the Service are processed by Lemon Squeezy, who acts as the Merchant of Record. When you purchase a subscription or credits, you are entering into a transaction with Lemon Squeezy. Lemon Squeezy handles all billing, refunds, chargebacks, and tax collection. Their terms apply to all payment transactions: https://www.lemonsqueezy.com/terms

5.2 Pricing and Plans

Current pricing is displayed at draftless.io. We reserve the right to change pricing with 30 days' notice. Price changes will not affect existing subscription periods.

5.3 Subscription Terms

  • Subscriptions are billed monthly or annually in advance
  • Monthly credit allowances reset on each billing date
  • Unused monthly credits do not roll over
  • Purchased add-on credits do not expire

5.4 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

  • You retain access until the end of your current billing period
  • No partial refunds are provided for unused time
  • Your data remains accessible for 30 days after expiration
  • Refund requests are handled by Lemon Squeezy according to their policies

6. Acceptable Use

You agree not to use the Service to:

  • Clone websites you do not have permission to reference or that violate third-party rights
  • Create, store, or distribute illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Impersonate others or misrepresent your affiliation
  • Attempt to gain unauthorized access to systems or data
  • Interfere with the operation of the Service
  • Use automated means to access the Service without permission
  • Resell or redistribute access to the Service without authorization
  • Use the Service for phishing, fraud, or deceptive practices

We reserve the right to suspend or terminate accounts that violate these rules.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content you create, upload, or generate using the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content as necessary to provide the Service.

7.2 Our Service

The Service, including its design, features, and underlying technology, is owned by Entropy Hedge, LLC. We grant you a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

7.3 Cloned Content

Important: When you clone a website, you are responsible for ensuring you have the right to use, reference, or be inspired by that design. Draftless is a tool for design inspiration and iteration—similar to how designers create mood boards. You are responsible for:

  • Ensuring your use complies with applicable copyright and trademark laws
  • Transforming designs sufficiently for your own original work
  • Not infringing on others' intellectual property rights

We are not responsible for how you use designs created with the Service.

8. AI-Generated Content

The Service uses AI to assist with design modifications. You acknowledge that:

  • AI outputs may not always be accurate or suitable for your needs
  • You are responsible for reviewing and validating all AI-generated content
  • AI-generated code should be tested before production use
  • We do not guarantee that AI suggestions will be error-free or meet specific requirements

9. Third-Party Services

The Service integrates with or relies on third-party services including:

  • AI providers for natural language processing
  • Lemon Squeezy for payment processing
  • Google for authentication
  • Cloud hosting providers

Your use of these services is subject to their respective terms and policies.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or security updates
  • Factors beyond our reasonable control

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTROPY HEDGE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless Entropy Hedge, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create, upload, or share through the Service

14. Termination

We may suspend or terminate your access to the Service:

  • If you violate these Terms
  • If your payment method fails
  • For extended periods of inactivity
  • If required by law
  • If we discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ends immediately. You may export your data before termination. Sections 7, 11, 12, 13, and 15-17 survive termination.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware or remotely, at our discretion. You agree to waive any right to a jury trial or class action.

For disputes under $10,000, we will consider good-faith negotiations before arbitration.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance. If you disagree with changes, you may cancel your subscription.

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
